This End-User License Agreement is a legal agreement between you (either an individual person or a single legal entity) and QNT Software Development Inc. for the software product identified above and accompanying this AGREEMENT, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using all or any portion of the SOFTWARE PRODUCT, you agree to be bound by the terms of this AGREEMENT. You agree that this AGREEMENT is enforceable like any written negotiated agreement signed by you. You acknowledge that the SOFTWARE PRODUCT is a trial version, does not represent final product from QNT Software Development Inc., and may contain bugs, errors and other problems that could cause system or other failures and data loss. Consequently, the SOFTWARE PRODUCT is provided to you "AS-IS", and QNT Software Development Inc. disclaims any warranty or liability obligations to you of any kind. Accordingly, you acknowledge that any research or development that you perform regarding the SOFTWARE PRODUCT or any product associated with the SOFTWARE PRODUCT is done entirely at your own risk. During the term of this AGREEMENT, if requested by QNT Software Development Inc., you will provide feedback to QNT Software Development Inc. regarding testing and use of the SOFTWARE PRODUCT, including error or bug reports. You agree that you may not and certify that you will not sublicense, lease, loan, rent, or transfer the SOFTWARE PRODUCT. Upon receipt of a later trial version of the SOFTWARE PRODUCT or release by QNT Software Development Inc. of a publicly released commercial version of the SOFTWARE PRODUCT, whether as a stand-alone product or as part of a larger product, you agree to return or destroy all earlier SOFTWARE PRODUCT received from QNT Software Development Inc. and to abide by the terms of the End User License Agreement for any such later versions of the SOFTWARE PRODUCT. If you do not agree to the terms of this AGREEMENT, do not install, copy, or otherwise use the SOFTWARE PRODUCT. SOFTWARE PRODUCT LICENSE The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold. The term "COMPUTER" as used herein shall mean the HARDWARE, if the HARDWARE is a computer system, or the computer system with which the HARDWARE operates, if the HARDWARE is a computer system component. PROPRIETARY RIGHTS. The SOFTWARE PRODUCT and any accompanying documentation are the proprietary products of QNT Software Development Inc. or its licensors and are protected under national laws and international treaty provisions. Ownership of and all intellectual property rights in and to this SOFTWARE PRODUCT and all copies, modifications, translations, and merged portions thereof shall at all times remain with QNT Software Development Inc. or its licensors. COPYRIGHT. All title and intellectual property rights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by QNT Software Development Inc. or its suppliers. The SOFTWARE PRODUCT are copyrighted and are protected by Canada and United States copyright laws and international treaty provisions. You will not remove any copyright notice from the SOFTWARE PRODUCT. You agree to prevent any unauthorized copying of the SOFTWARE PRODUCT. Except as expressly provided herein, QNT Software Development Inc. does not grant any express or implied right to you under QNT Software Development Inc. patents, copyrights, trademarks, or trade secret information. All rights not expressly granted are reserved by QNT Software Development Inc. 1. LICENSE TO USE SOFTWARE PRODUCT. 1.1 General License Grant. QNT Software Development Inc. grants to you as an individual, a personal, nonexclusive license to make and use copies of the SOFTWARE PRODUCT for a period of 30 days from the date of the first receipt for the sole purposes of evaluation and estimation of using of the SOFTWARE PRODUCT for your own purposes. You may install copies of the SOFTWARE PRODUCT only on 1 (one) computer provided that you are the only individual using the SOFTWARE PRODUCT. If you are an entity, QNT Software Development Inc. grants you the right to designate one individual within your organization to have the sole right to use the SOFTWARE PRODUCT in the manner provided above. You agree that you will return or destroy all trial versions of the SOFTWARE PRODUCT within thirty (30) days from the first receiving of trial version of the SOFTWARE PRODUCT. 1.2 Documentation. This AGREEMENT grants you, as an individual, a personal, nonexclusive license to make and use only 1 (one) copy of any documentation, provided that such copy shall be used only for personal purposes and are not to be republished or distributed (either in hard copy or electronic form) beyond the user's premises. 1.3 Storage/Network Use. You may also store or install a copy of the SOFTWARE PRODUCT on a storage device, such as a network server, used only to install or run the SOFTWARE PRODUCT on computers used by a licensed end user in accordance with Section 1.1. A single license for the SOFTWARE PRODUCT may not be shared or used concurrently by other end users. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS 2.1 You may not resell, or otherwise transfer for value, the SOFTWARE PRODUCT. 2.2 Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. 2.3 Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT. 2.4 Support Services. QNT Software Development Inc. does not provide you any support services related to the SOFTWARE PRODUCT ("Support Services"). 2.5 Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use by more than one user. 2.6 Termination. Without prejudice to any other rights, QNT Software Development Inc. may terminate this AGREEMENT if you fail to comply with the terms and conditions of this AGREEMENT. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts. LIMITED WARRANTY LIMITED WARRANTY. The SOFTWARE PRODUCT are provided "as is," without warranty of any kind. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QNT Software Development Inc. AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QNT Software Development Inc. OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF ANY KIND OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT OR THE FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF QNT Software Development Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
